These Terms and Conditions (“Terms”) govern the use of ClosrTech LLC’s platform, including the submission of lead information by consumers and the purchase of leads by agents, agencies, or other businesses (“Users,” “You,” “Your”). By using our platform, submitting your information, or purchasing leads, you agree to be bound by these Terms.

1. Parties Covered

  • Consumers submitting personal data through any ClosrTech form, funnel, or landing page.
  • Agents or Businesses purchasing leads for marketing, sales, or contact purposes.

2. Definitions

  • “Platform” refers to ClosrTech’s websites, subdomains, tools, forms, and backend systems.
  • “Lead” refers to a record of consumer information submitted for quote or service matching purposes.
  • “Client,” “Agent,” or “Buyer” refers to any business or person purchasing leads.
  • “Consumer” refers to any user submitting a form to request information, quotes, or services.
  • “Company,” “We,” or “Us” refers to ClosrTech LLC.

3. Consent for Contact (Consumer-Facing)

By submitting your information through any form on our platform, you:

  • Acknowledge and agree that ClosrTech, licensed insurance agents, and/or marketing partners may contact you via phone call, SMS, or email.
  • Consent to use of automated technologies, including artificial or prerecorded voice messages, for contact—even if you are listed on a federal or state Do Not Call (DNC) list.
  • Understand that consent is not required to make a purchase.
  • Agree that standard message and data rates may apply.

4. Lead Purchase & Usage (Agent-Facing)

  • Leads are delivered electronically and include personal consumer data.
  • All purchases are final unless otherwise stated. (See Section 5.)
  • Leads are licensed for internal business use only and may not be resold, repackaged, or transferred without our written consent.
  • You must use all leads in full compliance with:
    • Telephone Consumer Protection Act (TCPA)
    • CAN-SPAM Act
    • Federal/state DNC laws
    • GDPR (if applicable)

5. Refund Policy & Chargebacks

  • All sales are final.
  • Refunds are only granted if:
    • A duplicate transaction occurred, and you notify us within 5 business days.
    • A promised delivery was not fulfilled and remains unresolved within 7 business days of your notification.
  • Unauthorized chargebacks will result in:
    • Immediate suspension or termination of account access
    • A $100 administrative fee, plus any recovery costs

6. Lead Quality Disclaimer

  • All leads are sold as-is.
  • We do not guarantee contact rates, sales conversions, or performance.
  • Results may vary based on your scripts, timing, technology, and outreach process.

7. User Responsibilities

  • Provide accurate information
  • Refrain from fraud, abuse, or illegal conduct
  • Not interfere with the operation of the Platform
  • Comply with all applicable laws and regulations

8. Intellectual Property

  • All Platform content, tools, forms, and data are owned by ClosrTech LLC.
  • You may not scrape, copy, or reproduce Platform materials without written approval.

9. Limitation of Liability

  • ClosrTech LLC is not liable for:
    • Indirect, incidental, or consequential damages
    • Lost profits, revenue, or data
    • Any claim exceeding the amount paid for the product or service in dispute

10. Termination

  • We may suspend or terminate your access to the Platform if:
    • You violate these Terms
    • You initiate a chargeback
    • We detect fraud, abuse, or illegal activity
  • Upon termination, all rights to access or use leads or services end immediately.

11. Dispute Resolution & Arbitration

  • Contact info@closrtech-staging.com to attempt resolution of any issue.
  • If unresolved, disputes will be handled through binding arbitration in Orange County, Florida, per AAA rules.
  • Users waive the right to class actions or jury trials.

12. Modifications

We reserve the right to modify these Terms at any time. Continued use of the Platform indicates acceptance of any revised terms.

13. Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to its conflict-of-law principles.
